Armenia is one of the easiest countries in the region to register a company. There is no minimum share capital, no state fee for standard LLC registration, and foreigners can own 100% of the business. For many people, company registration in Armenia is the first step of their relocation to Armenia: it creates an income source, a business bank account and a ground for a residence permit.
Team2B has registered and supported 2,000+ businesses and keeps 1,200+ of them on accounting. Here is how to choose the right legal form and get set up correctly.
LLC or sole proprietor: which should you choose?
| Sole proprietor (individual entrepreneur, IE) | Limited liability company (LLC) | |
|---|---|---|
| Who it suits | Freelancers, remote workers, solo consultants | Founders, teams, IT and trading companies |
| Liability | Personal (all your assets) | Limited to the company’s assets |
| Registration time | About 1 day | 1 working day by law, 2–3 days in practice |
| State fee | 3,000 AMD on paper, free online | None standard; 30,000 AMD for express 1-day |
| Minimum capital | Not applicable | None for registration |
| Legal address | Not covered by the LLC rule | Armenian legal address required |
| Team2B price | 30,000 AMD in person / 40,000 AMD remote | 200,000 AMD remote; from 240,000 AMD with a corporate founder |
| Residence threshold from 1 Nov 2026 | 1,000,000 AMD on business account or turnover in 60 days | 2,000,000 AMD charter capital or shares |
| Profit distribution | Owner’s income | Dividends taxed at 5% |
| Typical tax regime | Turnover tax or microbusiness | Turnover tax, microbusiness or general (18% profit + VAT) |
Rule of thumb: if you are a freelancer invoicing foreign clients and want minimum admin, a sole proprietorship is usually enough. If you have partners, employees, investors, or clients who prefer contracting with a company, choose an LLC.
Other forms are available as well: non-profit organizations (Team2B price 300,000 AMD) and joint-stock companies (300,000 AMD).

Which tax regime should your company choose?
| Regime | Who can use it | Key rates |
|---|---|---|
| General | Any business | Profit tax 18%, VAT 20% above 115 million AMD turnover |
| Turnover tax | Turnover up to 115 million AMD | Trade 10%, production 7%, catering 12%, other activities 10%, certified high-tech 1%, less part of documented expenses (minimum 1–4.5% of turnover) |
| Microbusiness | Turnover up to 24 million AMD, allowed activities only | Exempt from VAT, profit and turnover tax; no 5,000 AMD fixed monthly tax |
Important: since 1 July 2025, legal and accounting services, management consulting and staffing (NACE 69, 70, 78.2, 78.3) are excluded from turnover tax and microbusiness, and IT, other consulting, marketing, design and trade are excluded from microbusiness. Check your activity code before you choose. Sole proprietors on turnover tax also pay a fixed 5,000 AMD per month profit tax, 5,000 AMD per month social payment if born in 1974 or later, and a 12,000 AMD annual stamp duty (120,000 AMD if income exceeds 12 million AMD). Sole proprietors on the general regime pay 18% profit tax plus the social payment. Full details are in our taxes in Armenia guide, and you can estimate turnover tax with our turnover tax calculator.
IT companies: the old IT certificates are no longer issued (those benefits ended on 1 January 2025). Under the new 2025–2031 regime, companies in the High-Tech registry with at least 90% qualifying revenue pay 1% turnover tax, can deduct 200% of R&D costs, and get 60% of income tax on wages refunded for new hires.
How does company registration affect your residence permit?
From 1 November 2026 a “paper” company is not enough for residence:
- LLC founders need charter capital or shares worth at least 2,000,000 AMD.
- Sole proprietors need at least 1,000,000 AMD on the business account, or at least 1,000,000 AMD turnover in the 60 days before applying.
- Status can be cancelled if capital drops below 1,000,000 AMD or no taxes are assessed within 180 days.
Also from 1 November 2026, founders and heads of foreign-owned companies need a work permit unless they are EAEU citizens. EU, US and UK founders are not exempt. We plan the structure so that your company, work permit and residence fit together.
What do you need for a company bank account?
Armenian banks usually require the director to come in person. They review the company, founders, ultimate beneficial owners, source of funds and expected transactions. Review takes 4–14 business days. In 2026 KYC became stricter after MONEYVAL placed Armenia under enhanced follow-up. See our bank account in Armenia guide. Team2B bank escort costs 25,000 AMD.

What about home-country obligations?
If you remain a tax resident of another country, your Armenian company may create reporting duties there. For example, Russian tax residents must file controlled foreign company (CFC) notifications. US persons have their own foreign company reporting. Plan this before registration.
What are common mistakes when registering a company in Armenia?
- Choosing the wrong activity code. It determines whether you can use turnover tax or microbusiness. Legal, accounting, management consulting and staffing are excluded from both; IT, marketing, design and trade only from microbusiness.
- Missing the 20-day deadline to choose a tax regime, which leaves you on the general regime with 18% profit tax.
- Registering with zero capital and later finding that the company does not qualify for residence after 1 November 2026.
- Letting the company go dormant. From 1 November 2026 a business-based residence status can be cancelled if no taxes are assessed within 180 days.
- Forgetting the work permit for non-EAEU founders and directors of foreign-owned companies.
- Not planning bank onboarding. The director usually needs to be in Armenia for the account opening.
Which documents do foreign founders need?
| Founder type | Documents |
|---|---|
| Individual founder | Passport and notarized Armenian translation |
| Corporate founder | Apostilled founding documents and register extract, with Armenian translation |
| Remote registration | Power of attorney, notarized and apostilled (or signed at a consulate) |
| Director | Passport and notarized Armenian translation |
